Structured Outcome Funds Risk: Underlying Funds may employ Strategies which seek to provide a ‘structured outcome’ investment experience. The upside capture parameters could limit the upside participation of these Underlying Funds. Conversely, downside protection parameters provide limited protection in the event of decreasing referenced index performance. There is no guarantee that these Underlying Funds will completely protect against referenced index price decreases. The parameters of the Underlying Funds are designed to attempt to achieve their objectives over the entirety of the Underlying Fund’s outcome period. FLEX Options Risk: The Fund will utilize FLEX Options issued and guaranteed for settlement by the Options Clearing Corporation (OCC). In a rare event, the Fund could suffer significant losses if the OCC is unable or unwilling to perform its obligations under the FLEX Options contracts. FLEX Options may also be less liquid than standard options which may adversely impact the value of the Fund’s FLEX Options and its NAV. In addition, the value of the Fund’s FLEX Options positions is not anticipated to increase or decrease at the same rate as the reference index; and while it is anticipated that they will generally move in the same direction, it is possible that they may move in different directions.
Over-The-Counter (OTC) Options Risk: The Funds may also utilize OTC options. OTC options are two-party contracts with negotiated strike prices and expiration dates and differ from exchange-traded options in that OTC options are transacted with dealers directly and not through a clearing corporation. Because OTC options are not guaranteed for settlement by a clearing broker, they are generally considered to have greater counterparty risk than exchange-traded options, such as FLEX Options, which are issued and guaranteed for settlement by the OCC and their clearing houses (“clearing members”) rather than a bank or a broker. A less liquid trading market may adversely impact the value of the Fund’s OTC options and therefore the NAV of the Fund. In addition, because there can be no assurance that a liquid secondary market will exist for any particular OTC option at any specific time, the Fund may be required to treat some or all of its OTC options as illiquid securities.
